Abstract

Share takeovers carried out by companies are required to notify KPPU of the acquisition action no later than 30 days. Decision Number 897/Pdt.Sus- KPPU/2019/PN Jkt. The cell is a request for objection to KPPU Decision Number 02/KPPU-M/2019 made by PT. Citra Prima Sejati towards KPPU. The objection was made based on the contents of the decision given by the Commission Council in KPPU Decision Number 02/KPPU-M/2019 regarding fines due to late notification of share takeover carried out by PT. True Prima Image. This article aims to find out and examine the basis for the KPPU's decision to be submitted back to the District Court regarding late notification of shares and the legal consequences of late notification of share takeover in case Number 897/Pdt.Sus-KPPU/2019/PN Jkt. Cell. The method used in this writing is normative juridical with techniques for collecting library study materials. In conclusion, the KPPU's decision was submitted back to the District Court by the Objector Petitioner, namely PT Citra Prima Sejati, on the basis of injustice committed by the Commission Council in deciding on fines, which was not in accordance with KPPU regulation no. 4 of 2009 concerning the amount of the basic amount for imposing fines and legal consequences for late notification of share takeover in case Number 897/Pdt.Sus-KPPU/2019/PN Jkt. Cell is that the Objector Applicant is declared legally and convincingly proven to have violated Article 29 of Law no. 5 of 1999 Jo. Article 5 PP No. 57 of 2010; Sentencing the Reported Party (PT Citra Prima Sejati)/Objection Petitioner to pay a fine of IDR 5,000,000,000.-.
