ANALISIS PERJANJIAN KERJA SAMA DALAM USAHA COFFEE SHOP DENGAN PIHAK PEMODAL (INVESTOR)

This research analyzes the cooperation agreement between the owner of the Shelby coffee shop and the capital provider. Where in the cooperation agreement there was a dispute due to the failure of the Shelby coffee shop business. This dispute occurs when the capital provider feels disadvantaged because it no longer makes a profit and does not have certainty that the capital that has been provided will be handled in accordance with applicable legal norms or not. This research is a type of empirical research. Empirical legal research is an approach taken in the field by observing what actually happens in the field. Application of these regulations in practice in society. To support the research results, a normative approach was also carried out, namely analyzing whether the cooperation agreements made and their implementation when a dispute occurred were in accordance with the legal rules in force in the Civil Code (KUHP). The implementation of the cooperation agreement went smoothly until bankruptcy caused problems because the cooperation agreement did not fully regulate the things that needed to be regulated. The owner of the Shelby coffeeshop should be able to show good faith in resolving this problem by not delaying the implementation of the dispute resolution which is carried out through negotiations or outside the trial. Negotiations were finally carried out by both parties with an agreement being agreed for the owner of the Shelby coffee shop that he was obliged to return the investment capital of Rp. 15,000,000.
