Abstract

The principle of good faith is very important in franchising to build sustainable trust, ensure fair implementation of the agreement according to the agreement, and protect both parties from losses. The problems in this study are: 1) How is the agreement process and form of the franchise agreement that caused losses to the franchisee in Cerdas Laundry? 2) What are the indicators that must be considered in the franchise agreement for the risk of losses caused by the franchisor in the case in Cerdas Laundry? The approach method used in this study is an empirical juridical approach with data analysis techniques using qualitative description analysis methods. The results of the analysis show that the process of making agreements in agreements that cause losses occurs due to unbalanced agreements, the absence of support mechanisms, detrimental termination provisions and provisions that are not in accordance with the law. Indicators that must be considered in the franchise agreement for the risk of losses caused by the partnership provider are: first regarding business transparency in the context of implementing a franchise based on Government Regulation (PP) No. 42 of 2007 and Regulation of the Minister of Trade (Permendag) No. 71 of 2019. Second regarding complying with the contents of the agreed agreement based on Regulation of the Minister of Trade (Permendag) No. 71 of 2019 concerning the Implementation of Franchises. Third, regarding mutually agreed-upon norms or core values based on Law No. 8 of 1999 concerning Consumer Protection (UUPK), which regulates consumer protection in Indonesia.
